We acted for Futures Housing Group in reorganising its governance structure.
This included working with its executive team to agree (in conjunction with the various Group boards and stakeholders, including local authorities) a governance structure meeting the regulator’s expectations. Ultimately the option chosen by the Group was a fully co-terminous skills-based board structure between the RP Group members, with a meaningful supporting committee structure with remits including diversification/growth and local focus.
What value did we add?
We worked with Futures Housing Group to populate the governance structure with the necessary detail to ensure that:
- Boards could move to a skills-based appointment process (notwithstanding Council nominations and “golden share” arrangements)
- The Board, committee and delegations structure dovetailed appropriately to ensure that all activities were overseen by an appropriate level of scrutiny from a suitably qualified board or committee (particularly regarding diversified and development activities)
- Risk awareness and management was at the heart of the governance structure – gaps in accountability were eliminated by the removal of duplication of role and remit between boards and committees, so there was clarity over who was responsible for what, and where and how business-critical decisions were made
We also advised the client procedurally on the steps needed to implement change and how to manage these (including obtaining stakeholder consents).
